These terms govern use of the CabbiCore Portal, CabbiCore Plugin, and related services (the “Services”). By using the Services, you agree to these terms.
Who you are contracting with
The Services are provided by CabbiCore Ltd, a company registered in England and Wales under company number 17334051, with its registered office at 18 Thames Avenue, Swindon, SN25 3NW. References to “CabbiCore”, “we”, “us” and “our” in these terms mean CabbiCore Ltd.
Use of the Services
- You must use the Services in compliance with applicable laws and fleet policies.
- You are responsible for activity under your accounts and access credentials.
- You must not attempt to disrupt, reverse engineer, or misuse the Services.
- Bulk update, import, export, and deletion tools must be used by an authorised fleet administrator who has reviewed the selected records and understands the effect on the connected iCabbi environment.
- Safety delays and overload controls must not be bypassed. CabbiCore may pause or stop operations when iCabbi or another connected service reports throttling, unavailability, or a gateway timeout.
Service availability
We aim to keep the Services available and reliable, but availability may be affected by maintenance, updates, or third-party integrations.
CabbiCore will not intentionally remove an enabled feature from an individual fleet without notice. However, iCabbi or another connected service may change its platform, interfaces, APIs, permissions, or availability in a way that affects or prevents CabbiCore from continuing to provide a feature. If such a change materially affects a paid feature, any associated billing adjustment, credit, or refund will be considered on a case-by-case basis, taking account of the duration and impact of the change.
Billing and payments
- Unless it is purchased as a multi-instance package, a subscription covers a single iCabbi instance, identified by its iCabbi client id (COID). It does not extend to any other instance, and access is limited to the fleet the subscription was purchased for.
- Every iCabbi instance is chargeable. Where an operator runs more than one fleet, including fleets under common ownership, control, or the same trading brand, each additional instance must either hold its own subscription or be added to a multi-instance package, and attracts an additional charge in both cases. Where no published multi-instance rate applies, the amount and applicability of that charge are set at CabbiCore's discretion.
- On a multi-instance package, every listed instance receives the same modules and the whole package is administered by the account that purchased it. Instances may be added or removed at any time. Adding one is charged immediately for the remainder of the paid period; removing one stops its renewal and access continues to the end of the period already paid for, with no refund or credit.
- Subscriptions are billed upfront for the selected period and renew automatically unless auto-renewal is disabled.
- All charges are processed in £ sterling (GBP).
- CabbiCore Ltd is not registered for VAT. No VAT is charged on any subscription, one-off charge, or custom work, and prices shown are the total payable.
- Upgrades charge immediately. Downgrades take effect at the end of the current period.
- Changing billing period starts a new period immediately and any remaining time is forfeited.
- Paid plugin and portal features remain available only while the associated subscription is active, trialling, or within any configured payment grace period. They are removed when the subscription ends, is administratively disabled, or remains unpaid after that grace period.
- A one-off charge may include specific plugin or portal feature access. Such access starts only after confirmed payment and ends on the stated expiry date, or continues without a fixed expiry when the payment request expressly says so.
- Feature-access requests do not guarantee approval. CabbiCore may approve a request manually without payment, or may send an optional subscription offer when the requested feature is linked to a paid plan.
Integrations and data
The Services connect to third-party platforms such as iCabbi, Voucherify, and payment providers. Your use of those services remains subject to their terms. Where a fleet enables rule-removal history, its iCabbi administrators and assigned CabbiCore portal fleet administrators may view that fleet's stored audit records.
Intellectual property
All rights, title, and interest in the Services remain with CabbiCore and its licensors. You receive a limited right to use the Services for your internal operations.
Custom work
Custom builds, integrations, and consultation are provided under agreed scopes and timelines. Additional terms may apply to bespoke work.
Limitation of liability
To the extent permitted by law, CabbiCore is not liable for indirect or consequential losses arising from use of the Services.
Changes
We may update these terms over time. Continued use of the Services indicates acceptance of updated terms.
